MyGameClub End-User License Agreement

1. Definitions

• “Software” means the MyGameClub programs: the club server with its admin panel, the agent for gaming computers with its customer screen, their setup programs and documentation, and the updates we provide to you.
• “Club” means one computer (gaming) club at one location that you operate.
• “Club server” means the one computer on which the server part of the Software is installed and to which the License is bound by the installation ID shown on the License page of the admin panel.
• “License” means the right to use the Software granted by this Agreement and confirmed by a license key or a license file that we issue.
• “Update period” means one year from the day we deliver the license key or the license file to you, unless the License or the invoice states another period.

2. License

Subject to this Agreement and to payment of the license fee, we grant you a non-exclusive, non-transferable, perpetual License to install and use the Software to operate one Club: the server part on one Club server, and the agent on any number of computers of that Club unless the License states a maximum number of computers.

The License is bound to the Club server. If you replace the Club server or reinstall its operating system, we re-issue the License for the new server free of charge on request; the License for the previous server then ceases to be valid.

You may make copies of the Software and of your data for backup purposes.

The License has no expiry date. It remains in force until this Agreement is terminated under section 11.

3. Free trial

After the Club server is set up, the Software works free of charge for 14 days as a trial, with every feature and no limit on the number of computers.

When the trial ends and no License is installed, the Software no longer starts new sessions or adds new computers. Other functions, such as finishing running sessions, bills, payments, shifts, reports, settings and backups, keep working, and a License can be installed at any time.

The trial is provided for evaluation. Sections 9 and 10 apply to it in full.

4. Updates

The License includes the new versions of the Software that we release during the Update period. You decide whether and when to install them.

After the Update period ends, you may keep using any version released during the Update period for an unlimited time. Versions released later are not included.

A version released after the Update period ends does not run with the License: on it, the Club server does not start new sessions or pair computers until you install a version released during the Update period or renew the Update period.

Renewing the Update period is optional. It is offered on the terms and at the price in effect at the time of renewal.

We are not obliged to release updates on any schedule or to add particular features.

5. Restrictions

You may not, and may not allow others to:

• use the Software for more than one Club, or on more computers than the License allows;
• sell, rent, lend, sublicense or otherwise transfer the Software or the License, except to a new owner of the whole Club with our prior written consent;
• remove, disable or bypass the license check, or use license keys or license files that were not issued to you;
• decompile, disassemble or otherwise reverse engineer the Software, except to the extent that the law expressly permits it despite this restriction;
• modify the Software or create works derived from it;
• remove or alter copyright notices, trademarks or this Agreement in the Software;
• use the Software in breach of the law, including the law on personal data and the rights of the Club’s customers.

6. Your data and your responsibilities

The Software keeps the Club’s data (staff accounts, customers and members with their phone numbers, balances, sessions, bills, payments, sales, chat messages and logs) on the Club server. We do not receive this data unless you send it to us yourself, for example a diagnostics file when you ask for support.

You are the operator of the personal data of your staff and customers that you process with the Software, and you are responsible for processing it lawfully, including under the Law of the Republic of Uzbekistan “On Personal Data”: informing the people concerned, obtaining their consent where it is required, and keeping the data secure.

The Software lets staff view and control a customer’s screen, and shows the customer a notice while this happens. You are responsible for using this function lawfully and for informing your customers about it.

You are responsible for making and keeping backup copies of your data, for the security of the computers and the network on which the Software runs, and for the passwords of the staff accounts.

The Software does not issue fiscal receipts and is not an online cash register or fiscal module under the tax law. You are responsible for meeting the tax and accounting requirements that apply to the Club.

7. Online services

To activate a License online, the Club server sends us the license key, its installation ID, the club name and the version of the Software. How we handle this data is described in the Privacy Policy on the MyGameClub website.

To tell you about new versions, the Club server asks our online service once a day which version is the newest. The request carries only the version of the Software and, like any connection over the internet, the IP address it comes from. Nothing is downloaded or installed automatically.

An installed License is checked on the Club server without the internet. If our online services are unavailable, we can issue the License as a file.

8. Ownership and third-party components

The Software is licensed, not sold. All rights in the Software, including copyright, belong to us or to our licensors. This Agreement gives you only the rights expressly stated in it.

The Software includes third-party components that are licensed under their own terms, listed in the file THIRD-PARTY-NOTICES.txt supplied with the Software. Those terms apply to those components, and nothing in this Agreement limits your rights under them.

Programs you use together with the Software, such as games, launchers or a diskless boot server (for example Broom), are not part of the Software and are used under their own terms.

9. Disclaimer of warranties

The Software is provided “as is” and “as available”. To the maximum extent permitted by law, we give no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Software will be free of errors or interruptions or will meet your requirements.

Where the law does not allow certain warranties to be excluded, they are excluded only to the extent the law permits.

Use the free trial to check that the Software suits your Club and your computers before you buy a License.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages, including lost profit, lost revenue, loss of data or business interruption, arising from the use of or the inability to use the Software, even if we were told that such damages were possible.

To the maximum extent permitted by law, our total liability under this Agreement is limited to the amount you actually paid for the License. For use of the Software free of charge, including the trial, we are not liable to the extent the law permits.

Nothing in this Agreement limits liability that cannot be limited under the law of the Republic of Uzbekistan.

11. Term and termination

This Agreement applies from the moment you first install or use the Software and remains in force until it is terminated.

You may terminate it at any time by deleting all copies of the Software.

We may terminate it by written notice if you breach it, in particular section 5. In that case we may also block your license key.

When the Agreement is terminated, you must stop using the Software and delete all copies of it. Sections 6, 8, 9, 10 and 12 continue to apply after termination.

12. Governing law and disputes

This Agreement is governed by the law of the Republic of Uzbekistan.

The parties will try to settle any dispute by negotiation. A dispute that is not settled within 30 days after a written claim is resolved by the competent court of the Republic of Uzbekistan in accordance with the law.

13. Final provisions

This Agreement, together with the License, the Terms of Sale and the invoice, is the entire agreement between the parties about the Software.

We may change this Agreement for future versions of the Software. Each version of the Software is governed by the Agreement supplied with it.

If any provision of this Agreement is found invalid, the remaining provisions stay in force.
